Terms & Conditions for Rendered Services via the User Interface (Website)

These Terms & Conditions ("T&C") govern all agreements and subscriptions under which Bright River CGI provides its Rendered Services.

Rendered Services:

Rendered is an online platform that converts products into 3D assets. Users can create jobs by uploading reference data, which are then converted into 3D Assets and returned to the User. All 3D content adheres to industry-standard formats and specifications outlined in Appendix I (3D asset tolerances). The platform also offers 3D interactive viewers with built-in AR, allowing users to embed interactive 3D Assets on their web platforms.

3D Viewer and AR:

The 3D viewer with AR is hosted by Rendered using Microsoft storage and CDN services. Users can embed these viewers on their platforms, with Bright River tracking the number of 3D viewer sessions. Depending on the subscription, up to 20,000 (Go AR) or 50,000 (Go Digital) viewer sessions per month are included. Additional sessions incur a fee of €15 per 10,000 sessions.

Account Storage:

Depending on the subscription plan, Users have access to 50GB (Go Virtual), 100GB (Go AR), or 250GB (Go Digital) of storage. This includes storage for product reference data, 3D viewer hosting, and final product output. Additional storage costs €25 per month for every 50GB.

Storage Period and Access to 3D Assets:

All products and their outputs are accessible during the Subscription period and for one (1) month after termination.

Order Estimates:

Pricing varies by product complexity. Estimates are provided on the Rendered platform for client approval.

Discounts apply automatically for invoices but may change at any time. They are only valid for new purchases and cannot be combined or applied retroactively.

Payment Terms - Subscriptions:

Subscriptions are billed monthly via Stripe or recurring invoices. Non-payment will result in a downgrade, and all outstanding invoices must be settled before resuming production.

Payment Terms - Invoices:

Monthly invoices must be paid within 14 days. A late fee of 1.5% applies every 14 days past the due date.

Testing and Free Content Creation:

Bright River CGI may offer testing or free content creation services. By accepting these services, the User agrees that Bright River CGI may use any resulting assets and outputs for its own purposes, including but not limited to marketing, promotion, and demonstration. The User grants Bright River CGI a non-exclusive, worldwide, royalty-free license to use, reproduce, and distribute these assets as part of its promotional activities.

Turnaround Time*:

3D assets are processed after estimate approval. Master Products typically take up to 14 business days, while variations take up to 9 business days. Turnaround time is dependent on prompt client reviews and order volume.

Client Reviewing:

Clients must review 3D assets within five (5) business days of notification. If not rejected within this period, products are considered approved.

Client Support:

Support requests must be made via the Rendered platform, where "tickets" can be created for specific products or general inquiries.

Reporting:

Clients can access reports for estimates, invoices, product statuses, and monthly expenditures on the Rendered platform.

IP Rights & Data:

Bright River CGI grants Users an unlimited, personal, exclusive license to use the 3D Assets processed. Pre-existing Intellectual Property remains the property of each Party. Bright River CGI may store and use Processed Visual Content to maintain and improve the Service but will not store or use personally identifiable information.

Knowledge Resulting from Rendered Services:

The User authorizes Bright River CGI to use any knowledge gained from providing the Rendered Services, including questions, interactions, and content, to improve its processes and workflows.

Privacy:

Bright River CGI respects privacy and only uses Personal Data for payment and contact purposes. If Personal Data is processed, Bright River CGI complies with the GDPR. User content does not qualify as Personal Data under these terms.

Guarantees and Indemnities:

The User guarantees the right to upload Visual Content and that it does not infringe on third-party rights. The User agrees to fair use of the Services and not to submit harmful or unlawful content.

Exclusion and Limitation of Liability:

Bright River CGI is not liable for any direct, indirect, or consequential damages. Liability is limited to direct damages up to the total amount of fees paid in the previous calendar year. Claims must be made within four (4) weeks of damage occurring.

Force Majeure:

Bright River CGI is not liable for delays or failures due to force majeure, including natural disasters, wars, or internet service failures.

Confidentiality:

Both Parties agree to keep all information received confidential, including Visual Content and Services. Confidentiality obligations extend to employees and third parties involved.

General Provisions:
  • Language: The Agreement is in English.
  • Governing Law: Dutch law applies, with disputes settled in Amsterdam.
  • Invalid Clauses: Invalid clauses will be enforced to the maximum extent possible, with the remainder of the Agreement remaining in force.

Definitions:

The following terms shall have the meaning set forth below:

Agreement:

The entire agreement, including these Terms and Conditions, concluded between Bright River and the User for provision of the Service;

3D Assets:

Models, textures and interactive AR files that are used for the various final outputs provided by Rendered;

Bright River CGI:

A private limited liability company, listed in the Commercial Register of the Dutch Chamber of Commerce under number 84798602;

IP Rights:

All intellectual property and ancillary rights, such as copyrights, trademark rights, patent rights, design rights, trade name rights, as well as know-how rights;

Master Product

First initial product to be created in a series;

Order Estimates:

Products are given a complexity level and are priced accordingly. Estimates are to be reviewed and approved before the products are processed;

Parties: 

Bright River CGI and User, each being a Party

Personal Data:

Any information relating to an identified or identifiable natural person. More specific for these services it is limited to the contact details (name and email address) of natural persons working for User to the extent necessary for registration

Processed Visual Content:

The Visual Content after having been processed

Rendered / Rendered Platform:

Bright River’s platform with various tools that includes all communication and information regarding the Service, including but not limited to enabling the User to create 3D assets and to integrate/embed 3D viewers with app-less AR and CG product images;

Service: 

The services provided by Bright River CGI to User under the terms of this Agreement

Service Network:

The service network Bright River CGI has established, apart from its own corporate group, and which consists of a number of carefully selected professional companies, with which Bright River CGI has agreements in place and which are engaged in the provision of the Bright River CGI Service;

Subscription: 

Users can opt for the following monthly plans: Go Virtual, Go AR, Go Digital and Enterprise subscription, each with their own conditions as further described in the Agreement;

Turnaround Time: 

The amount of time taken to complete the Services starting at the moment Bright River has received the Visual Content from the Client properly in its systems until the return of the complete output to the Client;

User:

Any individual or business that has entered into an Agreement with Bright River CGI;

Visual Content:

All visual content and/or reference data submitted by the User to be processed;

All output made by Rendered follows these specific tolerances. Our production teams work according to these tolerances for both modeling and texturing, and all internal QC follows these measurements. 

Jobs that fall within the tolerances as listed above are considered to be properly processed. The client may reject jobs that fall outside these tolerances and the client has the right to request Bright River to re-execute jobs that fall within the tolerances; in that case an additional service fee applies.
